STRAIGHT AHEAD INTERNATIONAL
AFFILIATE AGREEMENT
AND LICENSE

STRAIGHT AHEAD MINISTRIES, INC. AND _________________________________________

I. OVERVIEW

This agreement, made this _____ day of ____________, 200_, describes the relationship and responsibilities between Straight Ahead Ministries, Inc. (SAM) national office located at: 100 Grove Street, Worcester, MA 01605, USA and ___________located at: ________________________.

SAM and ___________, a non-profit religious organization, are dedicated to ministering to juvenile offenders and sharing the Love of Jesus Christ. Both parties also seek to establish and partner with existing programs to provide evangelism and discipleship for the young people during their incarceration and after their release from those facilities, to make disciples as commanded by our Lord and Savior Jesus Christ. The purpose of this agreement is to authorize ______ to function as an affiliate of SAM in the region/country of _________.

II. RESPONSIBILITIES OF STRAIGHT AHEAD MINISTRIES, INC.

As a result of our affiliation, SAM will provide the following services to help the Affiliate work "to see Jesus Christ transform the lives of juvenile offenders" throughout the affiliate's region/country through:

Ministry Promotion
1. SAM will promote juvenile justice ministry internationally and in the affiliate's region/country in order to:

a. Increase the awareness in churches of juvenile offenders as an unreached people group in need of evangelism and discipleship.
b. Promote the affiliates ministry in its region/country.
c. To make the ministry of SAM and its affiliates known internationally.
d. Assist SAM affiliates' to establish relationships with juvenile justice officials on a local level who can open doors to ministry in local facilities and programs.
e. To help create positive name recognition for SAM's international affiliates that will enhance their ministry growth in church involvement, volunteer recruiting and fundraising, where possible.

2. SAM will carry on the promotion through:

a. Books and media presentations dealing with at-risk youth that will give the ministry international recognition.
b. Affiliate access to promotional materials such as videos, artwork and brochures that can be customized for the local program.
c. SAM will maintain a website that will promote the ministry and provide information and links to the local affiliate program and website.
d. SAM will publish a national newsletter, Straight Talk, which will promote the national and Affiliate ministries. Affiliates can arrange to have this mailed to their mailing list, or adapt it for their own mailing purposes.
e. All services, publications and trainings will be made available to the affiliates, according to the list of charges issued by SAM from time to time.

Providing Ministry Models

1. SAM will continue to develop and maintain quality institutional and aftercare ministry in the New England Region of the United States that can be modeled internationally and will work with local affiliates to develop ministry models that meet the needs of the local population and cultures.
2. SAM will promote and advance models of ministry that develop through affiliates and other juvenile justice ministries.

Enhancing Ministry Expansion and Quality

1. SAM will make national staff available for consultation and guidance in strategies and implementation of programs, administrative and technical support, expertise on juvenile offenders and innovative methods to reach them.
2. SAM will maintain a referral database of related ministries for access by affiliates.
3. SAM will provide suggested site assessment standards and evaluate affiliates in accordance with written administrative and organizational standards from time to time adopted by SAM, and make suggestions available to the affiliates in order to:

a. Assist the ministry in reaching the SAM organizational outcomes of:

1. Every juvenile institution opened.
2. Every juvenile offender has the opportunity to hear and respond to the Gospel.
3. Every Christian called to juvenile offender ministry trained.
4. Every believing juvenile offender offered discipleship.

b. Assist the ministry in program design, coaching/consultation, and trouble-shooting.
c. Help maintain high ministry standards.
d. Assist in strategic planning for the program.
e. Look for ministry models that can help other programs.

4. SAM will assess and evaluate affiliates on the following schedule.

a. Organizational assessment prior to becoming an affiliate.
b. Preliminary evaluation at the end of the first year as an affiliate.
c. Organizational evaluation at the end of three years of involvement.
d. An organizational evaluation every three years thereafter.

5. Every three (3) years, SAM will convene a gathering of SAM International Affiliates from different countries/regions to function as consultants for new product development and serve as a think tank for innovative programs and methods.

6. SAM will provide affiliates opportunities to send appropriate youth on such programs as mission projects, summer camps and wilderness trips

Ministry Materials Development and Distribution

1. SAM will make all ministry materials available to affiliates at a reduced rate.
2. SAM will allow affiliates to customize discipleship and training materials for their own program and region on the following conditions:

a. The materials are not sold
b. The teaching content remains the same
c. SAM's name and copyright are maintained on the material

3. SAM will continue to develop new materials in consultation with staff and affiliates.
4. When material is provided to affiliates without charge and then translated into languages other than English, the translating affiliate agrees to send copies of the translated material to the SAM national office for SAM to distribute to those requesting such material.

Ministry Training

1. SAM will provide new staff training, personal support raising training and advanced training through its yearly school of Juvenile Justice Ministry.
2. SAM will run a yearly national conference to provide training, fellowship, ministry forums and inspiration and a tri-annual international affiliates conference.
3. SAM will work with affiliates to strategically offer training conferences, college and seminary courses and other events that could promote the local program.
4. SAM, in conjunction with the affiliate, will develop and distribute materials and training for recruiting and training volunteers.
5. SAM will assist affiliates in developing staff training ideas and materials for affiliate use.
6. SAM will assist the affiliate's staff in order for the affiliate to run volunteer orientations.
7. SAM will promote appropriate training provided by affiliates.

SAM seeks to assist affiliates and not burden them with extra financial responsibilities. All SAM national staff raise their own support in order to provide materials and training free of staff salary costs to affiliates.


III. RESPONSIBILITIES OF AN AFFILIATE

An affiliate is an independent, not for profit organization which elected to work with and receive the benefits of an association with SAM, and other similar organizations, to provide evangelism and discipleship for youth during their incarceration and afterward. In consideration of the services and resources provided by SAM and the national office pursuant to this agreement, the Affiliate agrees as follows:

Ministry Development

1. The Affiliate will maintain alignment on the SAM Model of Ministry, specific to mission, vision, focus, audience, values, philosophy and statement of faith with SAM
2. The Affiliate will seek to fulfill SAM ministry outcomes in their region/country:

a. To work toward the opening of every juvenile institution to the ministry in the region/country.
b. Every juvenile offender has the opportunity to hear and respond to the Gospel.
c. Every Christian called to juvenile offender ministry trained.
d. Every believing juvenile offender offered discipleship.

3. The Affiliate will maintain effective ministry, oversight and responsibility for its country or designated region.
4. Will work to cooperate with other juvenile justice ministries in their region/country as partners in the mission to "see Jesus Christ transform the lives of juvenile offenders."
5. Will cooperate with ministry assessments and evaluations agreed upon between SAM and the Affiliate.

Conferences and Training

1. All leadership and ministry staff are encouraged to attend SAM's yearly national conference and trainings.
2. All leadership will attend the tri-annual international conference.
3. The Affiliate will provide training for local staff on a yearly basis.

Cooperative Ministry

1. The Affiliate will work to further other SAM Affiliates by offering program ideas, attending SAM's tri-annual International Conference, and giving appropriate input to other affiliates.
2. The Affiliate will offer training and materials they develop for their own program to other affiliates. They have the right to maintain their own copyright on such material.

Administration

    1. The Affiliate will maintain organizational status as a legal entity and in good standing as a non-profit organization or such similar designation that may be required by its local and national government and shall conduct all of its business in compliance with all national and local laws.
    2. The Affiliate will file a yearly field report to allow SAM to compile statistics on ministry development.
    3. The Affiliate will complete an annual review questionnaire to maintain standards in the areas of:

      • Financial accountability
      • Adherence to SAM Affiliate vision, focus, audience, etc.
      • Strategic plan and evaluation results

4. SAM is the sole owner of all copyrights related to the Straight Ahead Ministries program, including but not limited to all artwork, logo or graphics depicting or describing Straight Ahead Ministries. The Affiliate's use of the trademark and service mark "Straight Ahead Ministries" is permitted solely by right of license provided by SAM pursuant to this agreement, and such right shall not be transferred by the Affiliate. SAM reserves the right to inspect the use or proposed use of the marks and in its sole discretion alter or void the use of the mark as proposed by THE AFFILIATE.

Except as otherwise specified in this agreement, the license shall be deemed non-exclusive. The marks are licensed solely for the duration of this agreement and this license may be canceled and revoked by termination of this agreement as provided in Part IV, number 2 of this agreement

Costs

1. There are no annual affiliation fees to be paid to SAM.
2. The Affiliate is responsible for any and all expenses as are necessary for their staff to attend all SAM international events (conferences, trainings and ministry meetings will occur before or after the national conference).

IV. GENERAL PROVISIONS

1. Each party further hereby mutually releases, holds harmless and indemnifies the other (including board members, officers, employees and agents of the other) from and against all claims, actions, rights, liabilities, damages, and expenses which may be asserted by third parties and which arise from its own negligent or willful actions or omissions.

2. This agreement shall be in effect until which time the national office, the local Affiliate or both wish to cease this agreement. In that case, the party seeking to terminate the agreement shall give the other party notice at least ninety days before the expiration of this agreement. Upon termination, the Affiliate shall cease using the name, logo, service and trademarks of Straight Ahead Ministries, Inc. immediately.

3. Straight Ahead Ministries and the Affiliate recognize that conflicts and disputes may occasionally arise. In recognition of the biblical calling to live at peace with one another, this Agreement commits us both to mutually agree to resolve any dispute in a biblical manner, according to the principles stated in 1 Corinthians 6: 1-11, Matthew 5: 23-24; Matthew 18: 15-20, and other pertinent Scripture. If any dispute cannot be resolved in private meetings between the parties we mutually agree, as an alternative to litigation, to enter mediation, and if mediation is unsuccessful, legally binding arbitration in accordance with the Rules and Procedures for Christian Conciliation, of the Institute for Christian Conciliation. The parties agree that any arbitration award may be entered in any court having jurisdiction over the subject matter or parties. The parties understand that these methods shall be the sole remedy for any controversy or claim arising out of this Agreement and expressly waive the right to file a lawsuit or claim against one another for such disputes, except to enforce an arbitration decision.

4. To the extent that the SAM national chapter shall fail to abide by any provision of this agreement, the sole remedy of the local Affiliate is to terminate this agreement. Under no circumstances will the national office be responsible for any direct or consequential losses alleged by the local chapter as a result of termination of this agreement, whether instituted by either or both organizations under this agreement.

5. Straight Ahead Ministries is not responsible for any obligations the Affiliate may incur, nor is the Affiliate responsible for any obligations Straight Ahead Ministries may incur.
